1. Acceptance of Terms

Welcome to Speekap. These Terms of Service ("Terms") govern your access to and use of the Speekap website, applications, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you agree to these Terms on behalf of that organization.

2. Description of Service

Speekap provides a text-to-speech platform that enables users to:

  • Convert text into natural-sounding audio using AI-powered voices
  • Create and manage audio projects for podcasts and other content
  • Clone voices from audio samples (subject to additional terms)
  • Edit and export audio in various formats including SRT subtitles
  • Access a library of pre-made voice profiles

2.1 Third-Party Voice Technology

Speekap acts as an intermediary platform. All voice generation and voice cloning functionality is powered by InworldTTS, a third-party service provider. When you use voice features:

  • Your text and voice data are transmitted to InworldTTS for processing
  • Voice quality, availability, and capabilities are determined by InworldTTS
  • Speekap does not own, train, or maintain AI voice models

By using the Service, you acknowledge and agree that your data will be processed by InworldTTS in accordance with their terms and policies.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 13 years old to create an account. If you are under 18, you must have parental or guardian consent to use the Service.

4. Subscription Plans and Payment

4.1 Plans and Pricing

Speekap offers various subscription plans with different features and usage limits. Current pricing and plan details are available on our Pricing page. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

4.2 Billing and Renewal

  • Paid subscriptions are billed in advance on a monthly or annual basis
  • Subscriptions automatically renew unless cancelled before the renewal date
  • Credits purchased under pay-as-you-go plans are valid for one year from purchase
  • No refunds are provided for partial subscription periods or unused credits

4.3 Usage Limits

Each plan includes specific generation limits. If you exceed your plan's limits, you may purchase additional credits or upgrade your plan. We reserve the right to suspend service for accounts that consistently exceed their limits without upgrading.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Create content that impersonates another person without their explicit consent
  • Generate deepfakes or deceptive audio intended to mislead or defraud
  • Produce content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Distribute spam, malware, or phishing content
  • Attempt to reverse engineer, decompile, or extract AI models or voice technology from the Service or InworldTTS
  • Use automated systems to access the Service without our permission
  • Interfere with or disrupt the Service or servers
  • Circumvent any usage limits or access restrictions

We reserve the right to suspend or terminate accounts that violate this policy without notice or refund.

6. Voice Cloning Terms

Voice cloning features are powered by InworldTTS and are subject to additional terms:

  • Third-Party Processing: Voice samples you upload for cloning are transmitted to and processed by InworldTTS. Speekap does not directly process or create voice clones.
  • Consent Required: You may only clone voices for which you have explicit, verifiable consent from the voice owner. This includes your own voice.
  • Prohibited Uses: Cloned voices may not be used for impersonation, fraud, harassment, or any deceptive purpose.
  • Verification: We may require proof of consent before enabling voice cloning features.
  • Liability: You are solely responsible for ensuring you have proper rights and consent for any voice you clone.

Violation of these voice cloning terms may result in immediate account termination and potential legal action.

7. Intellectual Property

7.1 Our Intellectual Property

The Speekap platform, including its software, design, and logos, is owned by Speekap and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without our express written permission.

The AI voice models and voice cloning technology are owned and operated by InworldTTS. Speekap does not own, develop, or train AI models.

7.2 Your Content

You retain ownership of the text content you input and the audio files you generate using the Service, subject to the following:

  • Free Plan: Audio generated on the free plan includes a watermark and may only be used for personal, non-commercial purposes.
  • Pro Plan: Audio generated on the Pro plan may be used for personal and limited commercial purposes (e.g., YouTube content, podcasts).
  • Team Plan: Audio generated on the Team plan includes full commercial rights for broadcast, advertising, and enterprise use.

7.3 License to Speekap

By uploading content to the Service, you grant Speekap a limited license to process, store, and display your content solely for the purpose of providing the Service. This includes transmitting your content to InworldTTS for voice generation. This license terminates when you delete your content or account.

No AI Training: Speekap does not use your content, voice data, or any user data to train, develop, or improve AI models. Your data is used exclusively to deliver the Service.

8. Third-Party Services

The Service relies on and integrates with third-party services:

  • InworldTTS: Provides all voice generation and voice cloning functionality. Your text content and voice samples are transmitted to InworldTTS for processing.
  • Payment Processors: Handle subscription billing and credit purchases.
  • Analytics Providers: Help us understand how users interact with our platform.
  • Cloud Infrastructure: Hosts and stores your projects and generated audio.

Your use of these services through Speekap is subject to their respective terms and privacy policies. Speekap is not responsible for the content, accuracy, availability, or practices of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • SECURITY OF DATA TRANSMISSION

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEEKAP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, USE, OR GOODWILL
  • SERVICE INTERRUPTIONS OR INABILITY TO ACCESS THE SERVICE
  • ANY CONDUCT OR CONTENT OF THIRD PARTIES

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Speekap and its affiliates from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any rights of another party.

12. Termination

You may terminate your account at any time through your account settings. We may suspend or terminate your account if:

  • You violate these Terms or our Acceptable Use Policy
  • We are required to do so by law
  • We discontinue the Service (with reasonable notice)

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting a notice on the Service or sending you an email. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Speekap is incorporated, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration, except where prohibited by law.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Speekap regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right does not waive that right.
  • Assignment: You may not assign your rights under these Terms without our consent.
